Platform Terms & Conditions
Terms to be accepted by Users of the uMed Platform
1. General
1.1 These terms and conditions of use (Terms) explain how you may use the uMed Platform and any of its content (uMed Platform).
1.2 The operator of the uMed Platform is Umedeor Limited (registered in England and Wales, no. 11067577, 15 Stukeley Street, London WC2B 5LT) or its US affiliate uMed Technologies Inc. (PO Box 726, 241 Arlington Street, Acton, MA 01720-2200, USA), depending on the jurisdiction in which you are accessing the platform (we, us or our). We can be contacted at usersupport@umed.io.
1.3 We make the uMed Platform available for use by representatives of the Customer (the healthcare organisation or sponsor you represent). These Terms apply to you as a representative of the Customer who is using the uMed Platform (you or your).
1.4 You must read these Terms carefully before using the uMed Platform. By using the uMed Platform or otherwise indicating your consent, you agree to be bound by these Terms and to comply with these Terms.
1.5 If you do not agree with any of these Terms, you will not be able to use the uMed Platform and will be logged off immediately.
2. User Accounts
2.1 All passwords allowing access to the uMed Platform are individual and personal to you. They must be treated as confidential information and kept secure at all times. You must not:
2.1.1 Disclose any password to any other individual;
2.1.2 Use the password for any purpose not directly related to the intended use of the uMed Platform.
2.2 You must notify uMed immediately if you are aware of or suspect any unauthorised use, disclosure, theft or loss of any password.
2.3 uMed may, if it sees fit, suspend or block your access to the uMed Platform or use of your user account at any time.
3. Use of the uMed Platform
3.1 You may only use the uMed Platform in accordance with these Terms and for the following purposes (Permitted Purpose):
3.1.1 To review information and/or undertake actions that are required for the appropriate use of the services provided by Umedeor Ltd or uMed Technologies Inc. to the Customer.
3.2 You are responsible for taking all measures necessary to:
3.2.1 Safeguard the confidentiality and security of the information available on or obtained from the uMed Platform;
3.2.2 Ensure that the information available on or obtained from the uMed Platform is only used:
a) To the extent necessary to perform the Permitted Purpose; and
b) To the extent that it is legal to do so.
4. Data Protection and Privacy
4.1 uMed operates in accordance with applicable data protection and privacy laws, including HIPAA and applicable US state privacy laws (for US users) and the UK GDPR and Data Protection Act 2018 (for UK users).
4.2 In respect of your personal data, any personal information that you provide to us will be dealt with in line with our Privacy Policy available at: https://www.umed.io/security-and-privacy
4.3 In respect of any personal data you may obtain from the uMed Platform:
4.3.1 You must at all times handle it in accordance with applicable data protection and privacy laws in your jurisdiction.
4.3.2 You must not:
a) Use it for any reason other than the Permitted Purpose;
b) Share it with any individual other than for the Permitted Purpose.
4.4 You must not:
4.4.1 Combine any information obtained from the uMed Platform with any other information that is reasonably likely to lead to the re-identification of any individual; or
4.4.2 Take any step or make any attempt that is intended to or is reasonably likely to lead to the re-identification of any individual.
5. Confidentiality
5.1 You must treat all information obtained from the uMed Platform as confidential.
5.2 You must not disclose or copy any information obtained from the uMed Platform unless:
5.2.1 It is reasonably necessary to do so for the Permitted Purpose; or
5.2.2 You are required to do so by law.
6. Failure to Comply
6.1 You and the Customer will be responsible for any actions or omissions which cause or facilitate a breach of confidentiality or these Terms.
6.2 If we believe that you are in breach of these Terms, we may terminate access by you and/or the Customer to the uMed Platform at any time.
7. Monitoring Compliance
7.1 uMed is entitled to review and audit your activity on the uMed Platform in order to monitor compliance with these Terms, including inspecting and taking copies of relevant records.
8. Governing Law
8.1 If you are accessing the uMed Platform in the United Kingdom, these Terms are governed by the laws of England and Wales and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
8.2 If you are accessing the uMed Platform in the United States, these Terms are governed by the laws of the State of Delaware and any disputes will be subject to the exclusive jurisdiction of the courts of that state.
